Terms of Service

1. Acceptance of Terms

By creating an account or using the JewelTrak software platform ("Service"), you ("Customer" or "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding legal agreement between you and JewelTrak, a company based in Florida, United States.

2. Description of Service

JewelTrak is a cloud-based software-as-a-service (SaaS) platform designed for independent jewelry retailers. The Service includes inventory management, customer relationship management, point of sale, memo tracking, repair management, appraisals, vendor management, and related features as described on our website and within the application. Features may be added, modified, or removed at our discretion with reasonable notice to active subscribers.

3. Account Registration

To use the Service, you must register for an account using a valid email address and accurate business information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@jeweltrak.com if you suspect unauthorized access to your account.

Each account is issued a private, isolated database schema. You may not share your account credentials with individuals outside your organization. Users within your organization may be added at no extra cost through the application's user management features.

4. Free Trial

JewelTrak may offer a free trial period to new customers. During the trial, you have access to the full Service. No credit card is required to start a trial. At the end of the trial period, continued use of the Service requires a paid subscription. We reserve the right to modify or discontinue free trial offerings at any time.

5. Subscription & Payment

Paid subscriptions are billed on a monthly basis at the rate displayed on our pricing page at the time of subscription. Pricing is currently $99 USD per store, per month. Subscriptions automatically renew each month until cancelled.

All payments are processed by Stripe, Inc. By subscribing, you authorize JewelTrak to charge your payment method on file on a recurring monthly basis. Invoices are issued electronically and are available in your account billing settings.

If a payment fails, we will attempt to notify you and retry the charge. Access to the Service may be suspended for accounts with overdue balances. We reserve the right to adjust pricing with 30 days' written notice to active subscribers.

6. Cancellation & Refunds

You may cancel your subscription at any time from within your billing settings or by contacting us. Cancellation takes effect at the end of the current billing period — you retain full access until then. JewelTrak does not provide refunds for partial billing periods already charged.

Upon cancellation, your data remains available for 30 days during which you may request an export. After 30 days, your data is permanently deleted in accordance with our Privacy Policy.

7. Your Data

You retain full ownership of all business data you enter into JewelTrak, including inventory records, customer information, transaction history, and any files you upload. JewelTrak does not claim any intellectual property rights over your data.

You grant JewelTrak a limited license to store, process, and transmit your data solely as necessary to provide the Service. We do not sell, rent, or share your business data with third parties except as described in our Privacy Policy or as required by law.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other customer accounts
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense the Service to third parties without written consent from JewelTrak
  • Use the Service in a manner that degrades performance for other customers

9. Intellectual Property

JewelTrak and its licensors retain all intellectual property rights in the Service, including the software, design, user interface, trademarks, and documentation. Nothing in these Terms grants you ownership of any part of the Service. Feedback you provide about the Service may be used by JewelTrak without obligation or compensation to you.

10. Third-Party Integrations

The Service may offer optional integrations with third-party services such as QuickBooks Online, RapNet, and others. Your use of any third-party service is subject to that service's own terms and privacy policy. JewelTrak is not responsible for the availability, accuracy, or actions of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEWELTRAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF JEWELTRAK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL JEWELTRAK'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JEWELTRAK IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless JewelTrak and its officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Termination

JewelTrak reserves the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or other conduct that we determine to be harmful to the Service or other customers. We will make reasonable efforts to notify you before termination except in cases of serious violations. Upon termination, your right to access the Service ceases immediately.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
